WHAT IS FORCE MAJEURE AND HOW DOES IT AFFECT A SALES AGREEMENT Guidance from Robert Allen Law
During this time of uncertainty, the lawyers at Robert Allen Law are on-call to advise you on what you need to know now regarding all of your yacht-related legal questions. To that end, we have prepared guidance on how the industry’s standard contracts – for charters, purchases and sales – deal with unforeseen circumstances such as the Coronavirus.
Prior to the Coronavirus pandemic, many brokers, dealers, manufacturers, buyers, sellers, owners and charterers had transactions well underway and many are now uncertain as to what will happen to those deals as important dates inch closer and government restrictions grow more severe. Your contract’s force majeure clause is the key provision to understanding how risk is allocated due to a delay or cancellation caused by the Coronavirus.
What is Force Majeure?
Force majeure is a Latin term used within the law that means an unforeseeable circumstance that prevents a party from fulfilling their obligations under a contract. Not all force majeure clauses are created equally, however, and the effect of such a clause is entirely dependent on the language used in your particular agreement. Some force majeure clauses may allow for a temporary suspension of performance, while others may allow for immediate termination of the agreement, or both. It is important that you carefully read the force majeure clause in your contract to determine your rights and responsibilities under the agreement.
When reviewing any force majeure clause, it is important to note that not every clause will cover events such as the Coronavirus. This may be due to the approach that some drafters take or if the agreement was not reviewed by a capable attorney before execution. SCOUT II BACK ON THE MARKET Now in Fort Lauderdale, en-route to the Mediterranean

Purpose-built for exploration by the British shipyard Brooke Marine in 1993, the original owner required a robust, world cruising yacht. While the yard looked to their commercial tug platforms to meet the tough seakeeping specification, the owner hired Terry Disdale for the external styling and interior decoration to ensure the project was built to true yachting standards.
Extended from 34m/111’ to 40m/130’ in 2018, she is beamy and stable, with excellent interior volume and deck spaces. She is powered by 3408TA Caterpillar engines and all key equipment and machinery has either been replaced or overhauled in the last two years. Her mast has been redesigned, the stern provides great access to the water and the remodeled bow with increased height and flair makes for dryer decks and larger tenders forward.
The interior is classic but light, a masterpiece of Disdale design. The upper deck features a huge sky lounge and office with outside dining and seating on the large sky lounge deck. With the US brokerage market that continues buoyant notwithstanding the geo-political buffeting of the past year, Stuart’s sales record remains consistent.

With six yacht’s sold, including the 83m Amels Here Comes the Sun, the 85m Lurssen Areti, and the delivery of the 63m Hakvoort Scout II, Stuart has sold 33 yachts since 2015, averaging over 6 sales a year. The average sales time remains under one year, which is remarkable in the industry.

Stuart is pleased to announce the Central Listing of Sea Forever, the 28m all-aluminum custom Exploration Yacht built by the Vancouver-based ABD Aluminum Yachts and delivered in 2007. ABD is known for its meticulously built, stout expedition yachts.
Built to cruise in remote locations where supplies are not always accessible, the need for room, range, storage and efficiency influenced the yacht’s design and build.
Sea Forever has a 7.2m beam and an imposing bow, rising one-and-a-half decks above the water. Designer Ed Fry incorporated the high, bulbous bow to improve fuel efficiency and reduce pitching. He commented that “She’s built to survive 20-foot waves without shipping water.”
Sea Forever leaves the smallest environmental footprint possible and equipment includes an industrial waste compacter, an aerobic biological sewage treatment system and fuel-efficient propulsion. The two Lugger 500-hp engines by Northern Lights enable Sea Forever to reach a maximum speed of 12 knots, and have nearly a 5,000 mile range at 10 knots. All essential electronics are duplicated on the delightfully large flybridge.
The interior by David Boudreau is finished in soft-hued, unstained maple and flat walls display the wood’s flame-like structure. The overall effect is subtle and airy enhanced by the large windows on all levels.
Sea Forever can accommodate 8 guests in three staterooms on the Main deck in addition to the Master suite on the Bridge deck. The master is completely private and features sizeable windows on port and starboard and a sizeable personal aft deck. Sea Forever consistently feels larger than her 216 GT.
Sea Forever carries two good size tenders and has an extended beach club with a large lazarette kitted out to store scuba gear.

Exciting end-of-year news: Here Comes the Sun, the largest AMELS ever built, has been sold in an in-house Fraser deal with Stuart representing the Buyer. This is Stuart’s sixth deal in 2019, the second largest by LOA after the 85m LURSSEN Areti.
Built by AMELS as “The Head of the family”, Here Comes the Sun is a “celebration of the luxury experience at the highest level – a sublime combination of comfort, style and uncompromising design”.
The 83-metre superyacht is not only the largest AMELS yacht built to date but also the first AMELS 272 from the yard’s successful Limited Editions range. And the records don’t stop there. The design collaboration between AMELS, the exterior designer Tim Heywood, and the interior designer Andrew Winch goes back 30 years to the Jon Bannenberg days.
Built by experienced owners, the build was completed in only 2.5 years and delivered in 2017. At 2827 GT and counting six decks, Here Comes the Sun has more than 1,400 square metres (15,069 sq ft) of interior. The levels of finish, the lack of noise and the lack of vibration is remarkable throughout.
Among the most eye-catching features are a large Beach Club that opens on three sides, the Main Deck swimming pool and the Sun Deck party space with jacuzzi and open kitchen. Here comes the Sun carries a wide range of water toys, tenders and a huge waterslide from Sun Deck.

She sleeps up to 20 guests in 6 staterooms and accommodations are very spacious, with large windows that provide ample natural light and magnificent views. Key features include a large helicopter deck, a hyperbaric chamber and a helicopter or submarine hanger. Her various submarines are launched using an A-frame.
